1. Introduction

Welcome to LEG UP ("LEG UP", "Platform", "we", "our", or "us"), an AI-powered capability verification, learning, and talent marketplace platform owned and operated by REDtech Africa Consulting Ltd.

These Terms of Service ("Terms") govern your access to and use of LEG UP and constitutes a legally binding contractual agreement between REDtech Africa Consulting Ltd (operating as "LEG UP", "the Company", "we", "our", or "us") and any individual or entity accessing or utilizing the platform.

These Terms govern a tripartite corporate ecosystem consisting of:

• Talent Users: Individuals utilizing the Platform for AI-powered capability verification, learning, automated coaching, and professional profiling to secure career opportunities.
• Employer Users: Corporate entities, recruiters, clients, and opportunity providers seeking talent acquisition, hackathon management, or contractor sourcing.
• Institutional Partners: Higher education institutions, technical universities, bootcamps, and certification bodies utilizing the platform for credential verification, student profiling, or employability analytics.

2. Eligibility

You must be at least eighteen (18) years of age, or the age of majority in your jurisdiction, whichever is higher, to use the Platform.

By using LEG UP, you represent and warrant that:

• You possess the legal capacity to enter into binding agreements.
• All information you provide is accurate, complete, and up to date.
• You will comply with all applicable laws and regulations.

3. Services Provided

LEG UP may provide:

• Capability assessments and verification.
• AI-assisted learning and coaching.
• Hackathons and challenge competitions.
• Digital portfolios and Talent Passports.
• Capability badges and certifications.
• Career guidance and mentoring.
• Talent discovery and recruitment services.
• Internship, freelance, contract, and employment opportunities.
• Community engagement and networking services.
• Marketplace services connecting talent with employers and clients.

LEG UP does not guarantee employment, internships, contracts, income, admissions, or any specific outcomes.

4. User Accounts

Users are responsible for:

• Maintaining the confidentiality of account credentials.
• All activities occurring under their accounts.
• Immediately notifying LEG UP of unauthorized access.

LEG UP reserves the right to suspend, restrict, or terminate accounts where fraudulent, abusive, unlawful, or harmful conduct is suspected.

5. User Content

Users retain ownership of content uploaded to LEG UP including:

• Profiles
• Portfolios
• Documents
• Videos
• Audio recordings
• Assessments
• Projects
• Digital evidence
• Certifications

By submitting content, users grant LEG UP a worldwide, non-exclusive, transferable, sublicensable, royalty-free licence to host, store, process, analyse, reproduce, display, and distribute such content solely for operating, improving, securing, and delivering the Platform.

Users warrant that they possess all rights necessary to upload such content.

6. AI Services

LEG UP uses artificial intelligence and machine learning technologies to:

• Assess capabilities.
• Generate recommendations.
• Facilitate learning.
• Match opportunities.
• Detect fraud.
• Improve platform performance.

AI outputs are informational only and do not constitute professional, legal, financial, immigration, academic, or employment advice.

Users remain solely responsible for decisions made using AI-generated outputs.

7. Talent Marketplace

LEG UP may facilitate connections between employers, educational institutions, opportunity providers, freelancers, and talent.

Employers and opportunity providers are solely responsible for:

• Accuracy of postings.
• Compliance with employment laws.
• Payment obligations.
• Recruitment decisions.

LEG UP acts solely as a technology intermediary and is not an employer, recruiter of record, staffing agency, or employment agency unless expressly stated otherwise.

8. Cross-Border Employment Disclaimer

LEG UP facilitates opportunities across multiple countries and jurisdictions.

Users acknowledge that opportunities may be subject to immigration, taxation, labour, employment, social security, and regulatory requirements in relevant jurisdictions.

Users and employers are solely responsible for ensuring compliance with applicable laws.

LEG UP shall not be responsible for obtaining work permits, visas, immigration approvals, tax registrations, or other regulatory approvals.

9. Capability Verification Disclaimer

Capability scores, Talent Passports, badges, rankings, assessments, and verification outcomes are evidence-based indicators only.

Such outputs do not guarantee:

• Future job performance.
• Employment.
• Academic admission.
• Earnings potential.
• Professional competence.

Employers, institutions, and users remain responsible for conducting independent assessments and due diligence.

LEG UP shall not be liable for decisions made based upon such outputs.

10. Acceptable Use

Users agree not to:

• Violate applicable laws.
• Upload false information.
• Commit fraud.
• Infringe intellectual property rights.
• Harass or discriminate against others.
• Upload malicious code.
• Circumvent security systems.
• Manipulate assessments or scores.

Violation may result in suspension or termination.

11. Intellectual Property

All LEG UP trademarks, software, designs, algorithms, frameworks, methodologies, content, and technology remain the exclusive property of REDtech Africa Consulting Ltd.

No content may be copied, reproduced, modified, or distributed without prior written permission.

12. Fees and Payments

• Certain services may require payment.
• All applicable fees shall be disclosed prior to purchase.
• Except where required by law, fees are non-refundable.

13. Marketplace Escrow and Payments

LEG UP may facilitate:

• Escrow services.
• Prize pools.
• Milestone payments.
• Contract payments.
• Incentive payments.

Payments may be processed through third-party providers.

LEG UP reserves the right to delay, suspend, reverse, or investigate transactions where fraud, disputes, unlawful conduct, or regulatory concerns are suspected.

LEG UP is not a bank or regulated financial institution unless expressly stated.

14. Privacy

Use of LEG UP is subject to the LEG UP Privacy Policy.

15. Disclaimers

The Platform is provided on an "as is" and "as available" basis.

LEG UP does not guarantee uninterrupted access, accuracy, or fitness for a particular purpose.

16. Limitation of Liability

To the maximum extent permitted by law, LEG UP shall not be liable for:

• Indirect losses.
• Consequential damages.
• Loss of profits.
• Lost opportunities.
• User decisions.
• User-generated content.

Aggregate liability shall not exceed the total fees paid by the user during the preceding twelve months.

17. Termination

LEG UP may suspend or terminate access at any time for violation of these Terms.

Users may terminate their accounts at any time.

18. Governing Law and Jurisdiction

Governing Law: These Terms, and any dispute or claim arising out of or in connection with them, shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria for all operations, users, and transactions within Africa, and the laws of England and Wales solely for transactions and users strictly domiciled within the United Kingdom or internationally.

Amicable Settlement: In the event of a dispute, parties shall first attempt to resolve the matter through mutual, good-faith consultation within thirty (30) days.

Arbitration: If unresolved, disputes shall be definitively settled under the Arbitration and Mediation Act of Nigeria, with the seat of arbitration being Lagos, Nigeria at the Lagos Court of Arbitration (LCA), unless the dispute strictly involves a UK-domiciled entity, in which case international commercial rules shall apply. Each party shall bear their own legal costs unless the arbitrator rules otherwise.
